This AGREEMENT sets forth the commitment, expectations, and full understanding between the Licensee ("Host Site") and Faith Content Network (“Licensor”), a Tennessee limited liability company at 320 Billingsly Ct #30, Franklin, TN 37067.

I. Host Site Obligations

1. General

a) Host site understands they are agreeing to serve as a ticketed location for a film showing. Any showing or distribution of the film outside of permissions specially granted in this agreement will be deemed a breach. Any concerns or questions concerning your agreement should be immediately directed to Faith Content Network.

b) The Host Site acknowledges that other churches in their area may choose to host the Event and Faith Content Network will not impose geographic boundaries. If a host site needs to establish a limited geographic radius around their event, please contact Faith Content Network.

2. Personnel

a) The Host Site agrees to assign a Coordinator (herein referred to as the “Host Site Coordinator”) who will work with, report to, and communicate with a Faith Content Network representative in overseeing all aspects of the Event.

b) Host sites agree to have the following positions filled for the event. ALL POSITIONS ARE REQUIRED to fulfill the obligations set forth in this agreement.

(i) Host Site Coordinator. The Host Site Coordinator is responsible for all event management and planning, the Host Site Coordinator is also responsible for the management of the day of hosting (or appointing someone else to fill that role).

(ii) Technical Coordinator. The Technical Coordinator will oversee all the technical areas of the event, including but not limited to performing all pre-event testing, ensuring proper audio both in clarity and volume, video both in display set-up and connection, internet needs and requirements, and all other aspects of tech to ensure the proper viewing experience for ticket holders. This person must have working knowledge of the Host Site AV Equipment and working knowledge or close communication with Host Site’s IT Department. This person MUST BE ONSITE during the Event.

c) The Host Site will communicate contact information for their personnel, and any significant changes in their team as soon as possible to Faith Content Network (info@faithcontentnetwork.com).

3. Cancelations

a) If a conflict which prevents the Host Site from performing its agreement in anyway, the Host Site agrees to contact Faith Content Network immediately. Faith Content Network will work with the Host Site to find a solution.

b) Force Majeure. If the streaming of the Event is substantially prevented by reason of an act of God, strike, lockout, law, regulation or ordinance, war or terrorism, or by any other circumstance beyond the control of Host Site and/or Faith Content Network, the failure of such performance will be excused and this Agreement deemed suspended during the continuation of such circumstance. Faith Content Network will make reasonable efforts to provide a program similar to the Event at a later date of the Host site’s choosing. The substitution may be in the format of an online archive video stream, rather than a live production.

4. Facilities

a) The Host Site will provide a gathering area with adequate seating, lighting, sound, and projection or display environment conducive to viewing the Event.

5. Technical

a) Faith Content Network will host multiple streaming tests on different days and times to ensure every opportunity for Host Sites to participate in at least one test. The Host Site is required to test at least ONE time prior to the event on an offered testing day/time and ensure picture and sound quality are adequate for the Event.

b) The Host Site should have a dedicated, closed internet connection for the Event. It is not recommended to stream the event over WIFI. It is recommended to use a hard line/ Ethernet cable to your streaming computer. Recommended bandwidth for streaming is 20 Mbps down. The Host Site should use a dedicated internet connection.

c) If needed, Host Site agrees to purchase, install, and/or upgrade their internet and its connections in order to properly stream the Event at their facility.

d) The Host Site Technical Coordinator will confirm via email with the Faith Content Network that the Host Site can receive, and properly display, the streaming video feed in the gathering area planned for the Event.

6. Communications

a) Host Sites may contact Faith Content Network via email info@faithcontentnetwork.com or phone 1-800-873-0880.

b) The Host Site agrees to receive e-mail updates from Faith Content Network as needed.

c) The Host Site will communicate with Faith Content Network to work through problems or issues before the Event.

d) At the conclusion of the Event, Faith Content Network will email a site survey. Host Sites agree to answer these questions truthfully and return promptly.

II. Faith Content Network Event Obligations

1. . Promotion

a) Faith Content Network will list the Host Site on its website(s) and online properties solely owned by Faith Content Network along with contact and ticketing information as it becomes available.

b) Faith Content Network will provide downloadable promotional resources for the Host Site.

2. . Technical

a) Faith Content Network will assign the host site a customer service representative to assist in properly setting up the Event.

b) Faith Content Network will deliver a high-quality video stream with synched audio via streaming link. Host Sites will be given a unique password to access the content via this link.

c) Faith Content Network will provide a stream test with technical support prior to the Event

d) Faith Content Network, via third party provider will make technical support available the day of the Event via online group chat, phone, and email.

3. License to Exhibit the Film

Faith Content Network, as the lawful rights holder of the film, hereby grants the Host Site a limited, non-exclusive, non-transferable license to publicly exhibit the film for the purpose of the Event, as specified in this Agreement. This license is strictly limited to the date(s) and location(s) outlined herein and is granted solely for the purpose of the Event.

III. Acknowledgements and Warranties

a) Host Site acknowledges that all content licensed under this Agreement is protected by United States copyright law (Title 17, U.S. Code) and international copyright treaties. Unauthorized use, reproduction, distribution, or display of the copyrighted material beyond the scope of this Agreement constitutes a violation of copyright law. Any exhibition or use of the film outside the scope of this Agreement, including but not limited to unauthorized duplication, distribution, or additional screenings, is strictly prohibited and requires prior written consent from Faith Content Network. All rights not expressly granted herein are reserved by Faith Content Network.

In the event of such a breach, the Licensor reserves the right to immediately terminate this Agreement without notice and to pursue all legal and equitable remedies available under applicable law. This includes, but is not limited to, seeking injunctive relief, statutory damages of up to $150,000 per infringed work for willful infringement, actual damages, and recovery of attorneys’ fees and court costs as provided under 17 U.S.C. § 504 and § 505.

Licensee further agrees to indemnify and hold harmless the Licensor from any claims, losses, or liabilities arising from the Licensee’s unauthorized use of the copyrighted materials.

IV. Additional Terms

a) No Partnership. This agreement in no way forms a partnership between the Host Site and Faith Content Networks, its partners, assigns, employees, contractors or subcontractors.

b) Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written, with respect to such subject matter. No amendment, modification, or addition to this Agreement shall be binding unless in writing and signed by both Parties.

c) Reservation of Rights. Faith Content Network reserves the right to revoke or withhold access to any film if it, in good faith believes, the terms of this agreement are not being adhered to whether intentionally or unintentionally.

d) Signatory. By signing the agreement on behalf of the Host Site, the signatory warrants he/she has the authority to enter into this agreement on behalf of the Host Site.
